Dash Terms of Service

Terms governing Dash Desktop, Dash Web, and Dash Cloud services.

Agreement and scope

These Terms of Service (“Terms”) form an agreement between you and Blackboard Technologies Inc. (“Blackboard,” “we,” “us,” or “our”) governing your use of Dash software and services (“Dash”). By using Dash, you agree to these Terms.

The Desktop, Cloud, and subscription provisions apply to the respective products and services you use.

If you use Dash on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” includes that organization. You must have the rights and permissions necessary to access the devices, accounts, systems, and content you use with Dash.

Software components distributed under separate licences, including open-source licences, remain subject to those licences. Nothing in these Terms restricts rights granted under an applicable open-source licence.

Our handling of personal information is described in the Dash Privacy Policy. These Terms do not replace any consent required by applicable privacy law.

Dash Desktop

Access to devices and systems

Dash Desktop and installed components operate with the permissions of the operating-system account under which they run. Features you enable may access or modify files, execute commands, use credentials, communicate over networks, and perform operations on connected accounts or devices.

You are responsible for the access you authorize and for supervising operations performed on your behalf. Permission to execute commands or run native components may allow access beyond a selected project to other resources available to your operating-system account. Operations may continue in the background after a remote connection ends.

Models, agents, and automated operations

Dash may be used with local and remote AI models, including open-weight models. AI-generated content may be inaccurate, incomplete, unsafe, or influenced by malicious input. Local execution does not guarantee the security or confidentiality of an operation or prevent communication with external services.

Agents and automated tools may alter or delete data, disclose confidential information, communicate with third parties, or incur charges. You are responsible for configuring their permissions, supervising their use, and evaluating generated content and actions before relying on them. You are also responsible for maintaining appropriate backups and testing. Broader permissions and unattended execution increase the consequences of an erroneous or unauthorized action.

Models, runtimes, platform apps, and extensions may contain defects or vulnerabilities, consume substantial resources, or be subject to separate licence restrictions. Making a component available through Dash does not constitute an endorsement or warranty of that component.

Local data and third-party integrations

You are responsible for securing your devices, local data, and credentials. Account encryption does not extend to all locally stored data or prevent access through an authorized or compromised device. Revoking access does not erase information previously obtained by a recipient.

Third-party services and software, including model providers and MCP clients, may receive information or perform operations through access you authorize. They are governed by their own terms, licences, and privacy practices. You are responsible for the permissions and charges associated with their use. Blackboard does not control those services or grant rights to third-party materials beyond their applicable licences.

Dash Cloud accounts and services

Accounts and remote access

You must provide accurate account information, safeguard your credentials and recovery information, and notify us of suspected unauthorized access. You are responsible for the devices, clients, and integrations you authorize, subject to obligations applicable law places on Blackboard.

Remote access depends on the availability, connectivity, and authorization of the participating devices and services. We do not guarantee that a device will be continuously accessible.

Service plans

Features and usage limits are set out in the applicable plan description. We may impose reasonable limits to protect service capacity and prevent abuse.

We make reasonable efforts to provide reliable service. No service-level or support-response guarantee applies unless agreed in writing.

Subscriptions and payment

Dash Pro subscriptions renew automatically at the billing interval disclosed at purchase until cancelled. You agree to pay the disclosed subscription fees and applicable taxes. Any promotion or discount is subject to its stated duration, eligibility, and renewal price.

Payments are subject to our payment provider’s applicable terms. Blackboard remains responsible for providing Dash. We may suspend paid services if payment is overdue.

We will give advance notice of changes to recurring fees. A changed fee will apply no earlier than a subsequent renewal and will be subject to any notice or agreement required by law. You may cancel before that renewal.

Cancellation and refunds

You may cancel your Pro subscription at any time. Cancellation stops automatic renewal, and your paid features remain available until the end of the current billing period.

Deleting your Cloud account ends your access immediately, including any remaining paid features.

Subscription fees are non-refundable. We do not prorate charges or provide refunds or credits for partial billing periods, subject to applicable law and any overriding refund rights under the payment provider’s terms. Cancellation does not affect charges already incurred.

Privacy, encryption, and recovery

Dash encrypts designated account content and supported device-to-device traffic, including traffic routed through Relay. Account and operational information and support submissions may be processed in readable form. Hosted MCP also processes authorized content in readable form, including content obtained from an encrypted account record or a local device. The Dash Privacy Policy describes the information we process and the scope of these protections.

You are responsible for retaining your recovery information and maintaining independent backups. We may be unable to restore encrypted content if you lose the means to decrypt it. Account recovery and synchronization do not constitute a data-recovery or backup guarantee.

Your content

These Terms do not transfer ownership of your content to Blackboard. You grant Blackboard a non-exclusive right to process that content solely as necessary to provide the services you request. This grant does not authorize publication of private content or its use to train a general-purpose AI model.

You are responsible for the content and instructions you provide and for obtaining any rights or permissions required to use or share them.

Acceptable use and suspension

You must not use Dash to violate applicable law or others’ rights, access systems without permission, distribute malware, steal credentials, or interfere with the services. You must not bypass account permissions, subscription requirements, or service limits, or use our infrastructure for abuse.

We may suspend or restrict cloud services when reasonably necessary to address violations of these Terms, security incidents, nonpayment, legal obligations, or disproportionate resource use that threatens the services. Where practical, we will provide the reason and a means to contest an error. We will provide any notice, remedy, or refund required by law. Restrictions on cloud services do not revoke independent rights under an applicable open-source licence.

Availability and changes to services

Dash may be updated, modified, or discontinued. We do not guarantee uninterrupted availability, compatibility with every environment, or continued availability of a particular feature. For material changes to paid services, we will provide notice and any cancellation or refund rights required by law.

Alpha, beta, canary, and other prerelease versions may contain defects, change functionality, or require migration or reconfiguration. You are responsible for assessing their suitability before relying on them for important work.

Warranties and limitation of liability

Mandatory rights

Nothing in these Terms excludes or limits any right, remedy, warranty, or liability that cannot lawfully be excluded or limited, including mandatory consumer, privacy, and security protections. The exclusions and limitations in this section do not apply to fraud, wilful misconduct, or other liability that cannot be limited by law.

Disclaimer of warranties

Except for any express written commitment we make and to the extent permitted by law, Dash and its outputs are provided as is and as available, without warranties or conditions of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation, compatibility, security, or the accuracy or suitability of model outputs or third-party materials.

Excluded losses

To the extent permitted by law, Blackboard and its officers, directors, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to Dash or these Terms. This includes loss of profits, revenue, business opportunities, goodwill, anticipated savings, or business interruption to the extent those losses fall within an excluded category.

Aggregate liability cap

To the extent permitted by law, the combined aggregate liability of Blackboard and its officers, directors, employees, and contractors arising out of or relating to Dash or these Terms will not exceed the greater of CAD $100 and the amounts you paid for Dash in the 12 months immediately before the event giving rise to the claim. Multiple claims arising from the same or related events do not increase this cap.

The exclusions and liability cap apply regardless of the basis of the claim, whether in contract, tort (including negligence), or otherwise, and even if the possibility of loss was foreseeable or disclosed to us. They remain subject to the mandatory rights and exceptions stated above.

Changes to these Terms

We may update these Terms as Dash and our services evolve. We will publish updated Terms with their effective date and provide reasonable advance notice of material changes through the application, email, or another appropriate channel.

To the extent permitted by law, your continued use of Dash after the effective date of an update, following notice and a reasonable opportunity to review it, constitutes acceptance of the updated Terms. If you do not accept an update, you may discontinue the affected services and cancel any applicable subscription.

Updates apply prospectively and do not affect accrued rights. Any additional notice, consent, cancellation, refund, or other amendment requirements imposed by law will prevail. Changes involving personal information remain subject to our Privacy Policy and any consent required by law.

Governing law

These Terms are governed by the laws of Ontario and applicable Canadian federal law, without depriving you of mandatory protections or rights to access courts or regulators in your place of residence.
